Either party to thisAgreementmay elect towaive any right or remedy itmay
enjoy hereunder, provided that no suchwaiver shall be deemed to exist unless
suchwaiver is inwriting. No suchwaiver shall constitute thewaiver of any other
right or remedy hereunder.
F.
If any termor provisionof thisAgreement shall, to any extent, be held invalid or
unenforceable, the remainder of thisAgreement shall not be affected thereby.
G.
Notices. All notices, demands, requests, consents, approvals, or other
communications given under thisAgreement shall be inwriting and shall be
executed by the party or an office, agent or attorney of the party, and shall be
deemed to have been effective as of the date of actual delivery, if delivered
personally or by telecommunication actually received, or as of the third day from
and including date of posting, ifmailed by registered or certifiedmail, return
receipt requested, with postage prepaid, addressed as follows:

ThisAgreement shall be binding upon and inure to the benefit of the parties
hereto and their respective authorization successors and assigns; provided,
however, that Riversidemay not assign its rights under thisAgreement without
expresswritten approval of theCity.

ThisAgreement shall be construed and interpreted under the laws of theState of
Illinois

To the extent that any ordinance, resolution, rule, order, or other provision of the
City’sCode ofOrdinances, or any part thereof, is in conflictwith the provisions
of thisAgreement, the provisions of theAgreement, to the extent lawful, shall
control.
